    This is a courtesy translation. The Spanish version is the binding one, as EGIXIA S.A.S. is incorporated in Colombia and these Terms are governed by Colombian law.

    These Terms and Conditions (the "Terms") govern your access to and use of EGIXIA's Artificial Intelligence Agents and any related software, service, data or content (the "Service").

    Please read these Terms carefully before using the Service. By accessing or using any part of the Service you agree to be bound by them. If you do not agree, do not use the Service.

    1. Definitions

    • AI Agents: artificial intelligence systems, language models, algorithms and software developed or licensed by EGIXIA and made available through the Service, designed for tasks such as document drafting (e.g. RFQ/RFP), information analysis, content generation and question answering.
    • Service: the AI Agents, the website, the APIs, the documentation and any other related resource.
    • User: the individual, company or organization accessing or using the Service.
    • User Content: text, data, information or documents you provide, upload or enter into the Service for processing.
    • Generated Content: the output produced by the AI Agents from User Content.

    2. Service description and inherent limitations

    The AI Agents assist users through natural language processing and other AI techniques. They are support tools and do not replace human professional judgment, critical decision-making or specialized advice.

    You acknowledge that AI technology may produce inaccurate, incomplete or biased information. Verifying and validating all Generated Content is the User's sole responsibility, particularly when used for purchasing decisions, supplier evaluation or contract review.

    3. Eligibility and accounts

    • You must be at least 18 and have legal capacity to enter a binding contract.
    • If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.
    • You are responsible for keeping your credentials confidential and for notifying us of unauthorized access.

    4. Acceptable use

    You agree to use the Service only for lawful purposes and not to: violate applicable laws; upload, transmit or generate illegal, harmful, defamatory, obscene or hateful content; infringe EGIXIA's or third parties' intellectual property; introduce viruses or malicious material; attempt unauthorized access or interfere with the Service; reverse engineer the AI Agents; use Generated Content to train competing AI services; present Generated Content as verified without human review; or use the Service in a way that damages, disables or overloads our systems.

    5. Intellectual property

    • Service ownership: EGIXIA and its licensors exclusively own all rights in the Service.
    • User Content: you retain ownership and grant us a limited license to operate and improve the Service.
    • Generated Content: EGIXIA grants you a non-exclusive license to use it; EGIXIA retains rights in the underlying technology.

    6. Privacy and data

    Processing of your personal information is described in our Privacy Policy.

    7. Confidentiality

    We will treat your User Content as confidential and apply reasonable security measures. We will not use your confidential information to train public models without your consent or without anonymizing it.

    8. Plans, credits and payments

    The Service is offered through plans with a usage credit allowance. Each AI Agent run consumes credits based on complexity, and credits renew according to the plan. On organization plans the allowance may be shared across members. Fees are communicated before use and, unless otherwise required by law, are non-refundable.

    9. Disclaimer of warranties

    The Service is provided "as is" and "as available". EGIXIA disclaims implied and express warranties to the maximum extent permitted by law. You use the Service at your own risk.

    10. Limitation of liability

    EGIXIA shall not be liable for indirect, incidental or consequential damages. Total aggregate liability shall not exceed the greater of USD $100 and the amounts actually paid by you in the six (6) months preceding the event giving rise to the claim.

    11. Indemnification

    You agree to indemnify EGIXIA against claims arising from your use of the Service, your breach of these Terms or your infringement of third-party rights.

    12. Changes to the Terms

    EGIXIA may modify these Terms. Material changes will be notified at least thirty (30) days in advance.

    13. Termination

    EGIXIA may suspend or terminate your access in case of breach. You may stop using the Service at any time.

    14. Governing law and dispute resolution

    These Terms are governed by the laws of the Republic of Colombia. Any dispute shall be submitted to the competent courts of Bogotá D.C.

    16. Miscellaneous

    • Entire agreement: these Terms are the complete agreement between you and EGIXIA regarding the Service.
    • Severability: if any provision is held invalid, the rest remain in force.
    • No waiver: our failure to enforce a right is not a waiver of it.
    • Assignment: you may not assign these Terms without our prior consent.
    • Force majeure: EGIXIA is not liable for causes beyond its reasonable control.
